The object of the contract will include A) Design, engineer, supply on a turnkey EPC (Engineering, Procurement, Construction) basis, erect and commission a gasification plant (app. 60MJ/s) as an add on to DONG Energy's power plant Asnæs#2, based on the technology developed and owned by a subsidiary within the Contracting Authority's group and with other ancillary contracts necessary for completion of the project, and B) Acquisition (100 %) by the successful Candidate as a necessary precondition for contracting the EPC contract of a Subsidiary Entity owning and holding all rights to the technology to be applied in the works, including technology and employees, based on a share purchase agreement

DONG Energy Thermal Power A/S

A) DONG Energy has developed a low temperature gasification process suitable for the gasification of straw or other biomass. The process has been proven at demonstration plant scale (6 MJ/s) at DONG Energy's power plant Asnæs#2. Various tests have been executed on the plant since first commissioning in 2011. The technology owned by one of DONG Energy subsidiaries is almost ready for commercial operation and DONG Energy intends to install the first unit at its Asnæs#2 power plant in Kalundborg, Denmark. The scope of this contract will be to design, engineer, supply, erect and commission a low temperature gasification plant (approx. 60 MJ/s) as an add on to Asnæs#2, and any possible ancillary contracts necessary, including such to govern access to reference plant, service and supply of gas produced.
The plant consists of the main sub systems;
— Fuel feeding system
— Gasification reactors
— High efficiency cyclones
— Ash extraction systems (both bottom ash and fly ash)
— Ash handling system
— Partial load flare
The Candidates shall be responsible for the correct sizing and integration of these 6 main systems as well as the other auxiliary systems required for the integrity of the gasification plant. The primary fuel will be straw but other biomass might also be used. The plant will produce a low temperature syngas for combustion in the Asnæs#2 boiler and an ash which might be used on farmland as fertiliser.
B)The Candidates must notice that in order to be awarded the contract and perform the EPC, the Candidates shall acquire from the Contracting Entity 100 % shares of a subsidiary to the Contracting Entity owning and holding all rights to the technology and Employee in scope for the delivery of the gasification Plant. (The takeover of employees will be effected under the rules of the Law on Employees' right in the event of Transfer of Undertakings, Act No. 710 of August 20th 2002.) Any special conditions regarding the takeover of the employees(no more than 7 persons) including employment conditions, will be described in the tender conditions.

The Objective criteria for selecting the 5 Candidates: If there are more Candidates than 5, the Candidates that on the basis of the documentation submitted concerning their economic and financial position have a satisfactory financial standing and have submitted the best references for similar projects, including possible references regarding gasification, will be selected, with the references being most important. The Contracting Entity may also take into account the object of achieving the most appropriate competitive situation. c) The submission must be send in 3 physical copies and on an electronic version(USB / CD-ROM) to listed contact point before deadline.

Betingelser for deltagelse
Egnethed til at udøve det erhverv:

a)The Candidate shall submit a description of ownership and corporate structure. If the Candidate is a subsidiary the Candidate shall submit the name of the ultimate group parent — being an entity directly or indirectly controlling more than 50 % of the Candidate. If the Candidate is a consortium the information shall be submitted for each of the members of the consortium. In addition the members of the consortium shall if awarded the contract in writing confirm that each of them accept joint and several liability for performing the contract.

Økonomisk og finansiel stilling:

a) The Candidate must submit a solemn statement of whether the Candidate has fulfill his obligations relating to the payment of social security contributions in accordance with the laws of the country where the Candidate is resident.

b) The Candidate must submit a solemn statement of whether the Candidate has fulfill his obligations relating to the payment of taxes in accordance with the laws of the country where the Candidate is resident.

c) The Candidate shall submit Annual Accounts (including the accountant's opinion) for the previous 2 (two) years if possible. The latest Annual Account containing the previous year will be accepted. If the Candidate is a newly established entity and therefore cannot provide 2 years of Annual Accounts the Candidate will have to submit its latest Annual Account or opening Balance. The assessment regarding the Candidates economic and financial standing will be based upon the below mentioned criterias:

— Equity (Candidates must provide an Equity level higher than 7 mEUR based on submitted Annual Accounts),

— Solvency ratio,

— EBIT margin,

— Liquidity Ratio,

— Cash flow from Operation.

Teknisk og faglig kompetence:

a)The Candidate must - in order to be prequalified - provide sufficient information on his engineering abilities as well as his abilities to execute EPC(Engineering, Procurement,

Construction - not necessarily Turnkey) projects within the power industry. In particular the Candidate must provide information on the number of employees(indclude average years of expirences) active within the field of:

1) Biomass gasification or high/medium temperature fluid bed treatment of biomass. The Candidate must be able to provide minimum 10 resources

2) Handling of biomass. The Candidate must be able to provide minimum 5 resources

3) General engineering of process plants. The Candidate must be able to provide minimum 25 resources

4) Contract management of EPC contracts.The Candidate must be able to provide minimum 12 resources

To document his technical capacity the Candidate must - in order to be prequalified - furthermore submit:

b) A reference list include description of EPC projects include gasification of biomass or high/medium temperature fluid bed treatment of biomass within the last 7 years. The list of references must include an description and the following relevant information: Name of the project, Owner, Contract price, Period of execution. In addition information regarding the scope of works and contractors or sub-contractors role in the project should be listed. The list must include a minimum of 2 references and not more than 15 references.

c) Documentation that the Candidate has implemented a quality and environmental management system corresponding to the principles in ISO9001 and ISO14001 or similar.

d) Documentation that the Candidate has implemented a health and safety management system corresponding to the principles in OHSAS18001 or similar.

e) A report of Lost Time Incident Frequency (LTIF) for the last 3 years.

Den juridiske form, som den sammenslutning af økonomiske aktører, der skal have kontrakten, skal have:

a) If several companies submit an offer in a consortium the tender shall be submitted jointly by the companies who assume joint and several liability for the tender submission and during the performance of the contract. The consortium shall appoint a common authorized representative. In addition the members of a consortium shall if awarded the contract in writing confirm that each of them accept joint and several liability for performing the contract.

Andre særlige vilkår:

a) The Candidates must notice that in order to perform the EPC, the Candidates shall acquire from the Contracting Entity 100 % shares of a subsidiary to the Contracting Entity owning and holding all rights to the technology and Employee in scope for the delivery of the gasification Plant. (The takeover of employees will be under the rules of the Law on Employees' right in the event of Transfer of Undertakings, Act No. 710 of August 20th 2002.) Any special conditions regarding the takeover of the employee(no more than 7 persons) including employment conditions, will be described in the tender conditions.

b)The Contracting Entity will look positive at Candidates who document substantiate ability(including the number of employees active in sales of technology) to sell the technology on all relevant markets.

c) As the Contracting Entity's Tender materials will include sensitive information the Candidates shall include in his request for pre-qualification a signed Non Disclosure Agreement including his particulars. The Non Disclosure Agreement will be an appendix to the Tender Material.

d) Candidates who wish to inspect current DEMO plant and location must sign an additional Non Disclosure Agreement regarding correct handling of the observations the inspection may generate. The Candidates

can obtain a draft of this Non Disclosure Agreement by contacting Contracting Entity contact point( see I.1)
