The precise subject matter of the project is confidential, and will only be made available to interested law firms upon the law firms signing of a non-disclosure agreement. However, Ørsted will need legal services within M&A, including but not limited to: • Contractual advice and assistance in relation to share purchase agreements and joint-venture arrangements (including but not limited to partnership agreements, shareholder agreements and investment agreements as well as project-related agreements such as construction agreements, operation and maintenance agreements, finance agreements and power purchase agreements) but also any other advice about the transaction. • Advice in relation to financings connected with energy or infrastructure projects. • Assistance in M&A-related matters before administrative authorities (e.g., in merger clearance proceedings, FDI, regulatory consent). • Other services directly or indirectly related to the foregoing.

The precise subject matter of the project is confidential, and will only be made available to interested law firms upon the law firms signing of a non-disclosure agreement. However, Ørsted will need legal services within M&A transactions, covering the following legal services within M&A, including but not limited to: • Contractual advice and assistance in relation to share purchase agreements and joint-venture arrangements (including but not limited to partnership agreements, shareholder agreements and investment agreements as well as project-related agreements such as construction agreements, operation and maintenance agreements, finance agreements and power purchase agreements) but also any other advice about the transaction. • Advice in relation to financings connected with energy or infrastructure projects. • Assistance in M&A-related matters before administrative authorities (e.g., in merger clearance proceedings, FDI, regulatory consent). • Other services directly or indirectly related to the foregoing.

Please note that the contracting entities mentioned in section 1 also covers all affiliates of the Contracting entity and all affiliates who are directly or indirectly controlled by Ørsted Onshore Holding A/S. Ørsted establish new Affiliates on an ongoing basis. Any new Affiliate will also become a Contracting Entity under the Contract, as long as the new Affiliate’s activities are within the usual activities of the Ørsted which is to develops, constructs and operates offshore and onshore wind farms, solar farms, energy storage facilities, and bioenergy plants, and provides energy products to its customers. The amount in section 2.1.3 is indicative, and is associated with considerable uncertainty. The given amount is Ørsted best estimate on what the value of the legal services will amount to. Please note that the start date in section 5.1.3 is only indicative and is subject to change. No deadline for receipt of request to participate is inserted in section 5.1.12, as it is not relevant as Ørsted will do a tender which is similar to the negotiated procedure with prior call for competition. Ørsted will negotiate with all law firms that fulfills the minimums requirements as further explained in section 2.1 "Main features of the procedure".

Ørsted will do a tender which is similar to the negotiated procedure with prior call for competition. Ørsted will negotiate with all law firms that fulfills the minimums requirements as mentioned in section 5.1.9 of this contract notice. All tenderers will be allowed to submit a first tender and a revised tender (expected BAFO) and to participate in one round of negotiations. If necessary, Ørsted will allow for the tenderers to submit further tenders and for more negotiation rounds. Further information on the procedure can be found in the tender conditions.

Minimum requirements for participation: The minimum requirements for participation are: (a) It is a minimum requirement for participation that the Tenderer is a full services Irish law firm, with expertise within the field of Renewables. (b) It is a minimum requirement for participation that the Tenderer has an international network, including offices in Ireland and London. (c) It is a minimum requirement for participation that a majority of the Tenderer’s employees carrying out the tasks covered by scope, are fluent in the English language and are admit-ted or registered in the following: i) admitted to the Roll of Solicitors of the Law Society of Ireland or ii) registered as a foreign qualified solicitor under the Establishment Directive (98/5/EC) or iii) admitted to the Roll of Practising Barristers maintained by the Legal Services Regulatory Authority of Ireland (d) It is a minimum requirement that the Tenderer has at least one (1) credential demonstrating that the Tenderer has been the leading law firm in an onshore transaction in Ireland from within the last 5 years. (e) It is a minimum requirement that the Tenderer has at least one (1) credential demonstrating that the Tenderer has advised on strategic joint ventures/partnerships of onshore assets in Ireland within the last 5 years.

Complaints about not having been pre-qualified must be filed with the Complainants Board for Public Procurement (Klagenævnet for Udbud) within 20 (twenty) calendar days from the day after the day when the Contracting Entity has notified the applicants in question about the result of the pre-qualification, provided that the notification contains a short statement of relevant reasoning behind the decision. The complainant must notify the Contracting Entity in writing of the filing at the latest when complaint is filed. There is no deadline for the Complaints Board’s review of a complaint about the result of the pre-qualification.
