The Contracting Entity is issuing a tender for the provision of Orsted’s demand for Legal Services in the Republic of Ireland. The framework agreement is structured into the following Lots: Lot 1: Full Service (All services not covered by Lot 1 and 2) Lot 2: Large scale Mergers & Acquisitions Lot 3: Onshore Real Estate Legal Services The Contracting Entity aims to establish a cascade with three (3) suppliers per lot. Contracts under the framework agreement may be awarded partially with and without reopening of competition. The framework agreements will be entered into by Ørsted Services A/S, however, tenderers are advised that call-off may be made by any company mentioned in Annex A.

The scope of legal services covers all of the Republic of Ireland. The estimated value of the Framework Agreement is EUR 8,000,000. The estimate is indicative, and the aggregated purchases made under the Framework Agreement may vary from the estimate. Unforeseen circumstances might occur if for instance new projects, strategic changes or new needs arise. Therefore, the Contracting Entity has decided to also include a maximum value of EUR 10,800,000. The above estimates and maximums do not preclude or change the Contracting Entity’s possibilities to make modifications to the Contract, cf. article 89 of the Utilities Directive.

Lot 2 covers legal services related to large-scale M&A transactions. A M&A transaction is considered large-scale if one or more of the following conditions is fulfilled: • High transaction value: the transaction has a value of hundreds of millions of euros. • Strategic impact: the transaction reshapes market positions, involve market leaders, or create entities with dominant roles in the renewable energy markets. • Cross-border or multi-party scope: the transaction involves multiple jurisdictions, large international players, or joint ventures in renewable energy projects. • Broad financing or structural complexity: the transaction requires substantial financing, innovative deal structures, or intricate legal analysis, including in respect of evolving policies applicable to the renewable energy markets. The Services covered by Lot 2 includes, but is not limited to: (a) National and cross-border transactions and company restructurings (b) Advice in relation to partnerships, acquisitions, and divestments (including but not limited to structuring, legal due diligence, partnership agreements, shareholders’ agreements, and investment agreements as well as project-related agreements such as construction agreements, operation and maintenance agreements, finance agreements and power purchase agreements) but also any other advice about the transaction irrespective of whether such advice in isolation may be covered by Lot 1 and/or Lot 3 (c) Advice in relation to financings connected with energy or infrastructure projects. (d) Assistance in M&A-related matters before authorities (e.g., competition authorities, judicial authorities)

Unforeseen circumstances might occur if for instance new projects, strategic changes or new needs arise. The framework agreement for Lot 3 comprises Ørsted's demand for legal services in Ireland related to real-estate in the context of onshore renewable assets (wind, solar and battery energy storage systems), Ørsted office spaces and/or other real-estate based in the Republic of Ireland, including but not limited to: (a) Drafting and negotiation of land option agreements, sales and purchase agreements, leases, easements, rights of way, direct agreements, interface agreements and all ancillary documentation in respect thereof (b) Drafting and negotiation of wayleave agreements for substations, export cabling and access rights (c) Reviewing and reporting on landowners’ titles, drafting title reviews and producing red flag reports, completing registrations in the Property Registration Authority, calculations and submissions of stamp duty (d) All aspects of landlord and tenant work in relation to renewable developments including lease review and clarification, and ad hoc queries regarding tenant issues and variations (e) Assisting and advising on all aspects of real estate and property law of project development for renewable assets, including advising on Compulsory Purchase Order powers

The tender is conducted pursuant to article 91 of the Utilities Directive. The tender will be conducted as open procedure with negotiation structured into three (3) lots and there will be awarded three framework agreements per lot. The framework agreements will be awarded based on the award criterion best price to quality ratio. To participate in the Tender, it is a minimum requirement that the Tenderer must have experience advising on all below mentioned areas of law: a) EU and Irish procurement law b) Construction and engineering law c) Energy trading and route-to-market agreements d) Environmental, permitting and planning law e) Antitrust/competition law (including state aid) f) Energy law and regulation g) Mergers & Acquisitions, partnering and restructurings h) Banking and finance law i) Corporate and commercial law j) Financial Regulation k) GDPR l) Business Ethics m) Advising on the applicability of Irish foreign investment screening rules In respect of each of the a – g areas of law as described above such experience must be within the renewable energy sector (offshore/onshore renewable energy and battery energy storage systems).
