1) Background and purpose:
This contract notice concerns DALO´s award of an Acquisition Contract with a Framework Agreement for the procurement of a VCS including sustainment i.e. development, implementation, maintenance and support during its life time (20 years). The acquisition contract and Framework Agreement (hereafter referred to as the Contract) shall be assigned to 1 and the same supplier.
The VCS will normally be operated by Danish Defense personnel, i.e. the Royal Danish Navy for maritime surface surveillance and the Royal Danish Air Force for air surveillance, air battle management and command and control. The VCS shall constitute the Danish Defense voice communication system prepared for mission critical voice communications.
The VCS is to be installed on several remote radio sites and operational centers, including a number (50+) of remote radio sites through out Denmark. Each radio site may have different types of radios allocated (HF, VHF, UHF, TETRA). Further details regarding the geographical location of the delivery will follow in the tender documents.
The VCS primary function shall be interconnection of radios, telephone systems, intercom, and public announcement systems. Besides the primary function the VCS most important feature shall be separation of voice communication with different security classification levels including NATO SECRET. Secure and non-secure voice communication shall be facilitated using DALOs own government furnished equipment such as cryptographic devices, IP-WAN and radios. TEMPEST modified equipment is also required at selected locations of the VCS.
2) Deliverables:
A) The VCS:
The contract concerns the acquisition of a VCS based on IP-WAN infrastructure using VoIP (Voice over IP) technology for voice-communication and IP based radio- and device control and configuration. The concept; Secure VCS is defined by DALO as a VCS that can be approved for the classification level NATO SECRET. The VCS shall be scalable in regards to the number of centers, users, services, number of radios, types of radios and services during the expected lifetime of the VCS.
The VCS shall have a dedicated management system.
The VCS system shall be operational and be able to carry out voice communication in conjunction with Air Trafic Control (ATC) communication 24/7/365. The VCS shall be based on distributed system architecture eliminating single points of failures for the VCS system itself and from the Danish Defence legacy systems. VCS system components shall be easy extendable to any location with IP presence including satellite links and shall not be limited by any hardware constraints in the central core of the VCS. Will be explained in the tender material.
The VCS Controller Working Positions (CWP) including the touch screen shall be based on new technology. The VCS management system panel shall be dedicated for radio, telephone and intercom communications. The interface structure shall be configurable and include Graphical User Interfaces (GUI).
B) Integration to legacy systems:
The acquired VCS shall integrate to legacy radio systems (HF, VHF, UHF, TETRA), current voice recording system and Cisco call manager based IP-telephone systems operated by the Danish Defence.
C) Documentation:
As part of the deliverables, DALO shall acquire system documentation and technical maintenance documentation for the VCS.
D) Training and education:
DALO shall be able to acquire initial training and education for System Administrators and Super Users and Tailor made courses in relation to the VCS.
E) Sustainment i.e. development, maintenance and support of the acquired VCS:
During the expected lifetime, DALO shall be able to acquire sustainment, i.e. development, maintenance, and support including the possibility to acquire spare-parts and hotline support, Training and education for all kind of users including operators, system administrators and super users. Tailor made courses shall be arranged on request.
In the duration of the contract it shall be possible to acquire spare parts, support and VCS system components to establish, install, update and maintain equipment for new centers.

This tender is conducted according to the negotiatied procedure, cf. directive 2009/81/EC, article 26. The candidates who will be invited to submit tenders will receive further practical information regarding the negotiated procedure in the Instructions to Tenderers. Tenderers are expressly made aware that DALO reserves the right to regard the INDO as a best and final offer (BAFO) and to close the tender procedure and award the Contract on the basis of the submitted INDO, i.e. without conducting any negotiations. The duration of the Framework Agreement may be extended with up to 4 (four) times — 1 (one) for 7 (seven) years and 3 (three) for each 2 (two) years (maximum of 20 (twenty) years in total), cf. Section II.2.3) below.
DALO shall have the option to acquire 2 (two) ekstra Non-Secure VCS centers for the duration of the contract (maximum of 20 (twenty) years) for the Danish Navy/Vessel Traffic Service Great Belt.

When submitting the offers (but not the request for participation), the tenderers must submit a solemn declaration stating:
1) That the tenderer is not subject to any of the reasons for exclusion stated in art. 39(1) or 39(2) of the Defence and Security Directive (2009/81/EC); and
2) To which degree the tenderer has unpaid overdue debt in relation to tax, duties or social security contributions under Danish law or under the law of the country in which the tenderer is established. A template for the declaration will be provided with the tender documents, and the tenderer is encouraged — but not obliged — to use it.

Reference is made to the tender documents regarding payment terms. Invoicing must be done in accordance with the applicable Danish legislation on public payments. At present, this is Danish consolidation act. No 798 of June 2007 which requires invoicing to be done electronically. Exact terms will be stated in the contract.

No particular legal form is required. If the Contract is awarded to a group of suppliers (e.g. a consortium), the participants are required to undertake joint and several liabilities and to appoint 1 supplier to represent the group.

The contract must be conducted in consideration of Corporate Social Responsibility (CSR) and it contains a labour clause, please see Annex F for further information. Annex F will be forwarded along with the tender material.
DALO demands that any person taking part in the performance of the contract must possess the appropriate personnel security clearance at the level required by DALO. The security clearance must be maintained throughout the term of the contract.
A supplier shall be subject to security approval to carry out work for the Danish Defense and to have access to classified information. It is the Danish Defense Intelligence Service (FE), whom issues the security approval on the recommendation of DALO. Throughout the terms of the Contract the supplier shall hold and maintain a facility security clearance to the level of NATO SECRET (equivalent to NATIONAL HEMMELIGT) issued by either the National Security Authority/Designated Security Authority (NSA/DSA) of a NATO Nation - or of a non-NATO Nation having a certified security agreement with NATO. The contract will not be awarded before an assurance of the security clearance has been obtained from the NSA/DSA of the tender. The expected time for award of contract will be stated in the published tender material and the time-limit to obtain a security clearance will be set by DALO. For the handling of classified information, including some government furnished equipment the supplier will be required to cooperate with its NSA/DSA, DALO and FE. The security clearance must be maintained throughout the term of the contract. See Annex X for further details, which will be forwarded along with the tender material.

Rammeaftalens varighed i år: 20
Begrundelse for rammeaftaler med en varighed på mere end fire år:
DALO intents as described in Section II.1.5) below to award.
1) An acquisition contract concerning the acquisition of a VCS, and
2) A Framework Agreement relating to the sustainment of the VCS.
The Framework Agreement shall have a duration for 7 (seven) years with the possibility for renewal 4 (four) times — 1 (one) for 7 (seven) years and 3 (three) for each 2 (two) years (7 + 7 + 2 + 2 + 2). The duration of 20 (twenty) years is justified particular on the grounds:

1) The VCS has an expected life time of 20 (twenty) years and DALO needs to have the VCS maintained for all 20 (twenty) years to ensure the VCS is operational;
2) The VCS needs to be kept operational and maintained. If the system is not operational it can have an effect on the functioning of the armed forces and their security, which is not acceptable;
3) DALO's knowledge of the market shows that it is not possible to have another/third party economic operator maintaining the VCS without disproportionate technical difficulties because maintenance of the VCS requires knowledge of the source code of the VCS. This knowledge is not acquired without technical difficulties. DALO has furthermore high requirements for the VCS time of operation and a change of supplier can have an effect on these requirements, which cannot be accepted by DALO.

For the purpose of achieving the best possible competition, DALO will choose a number of candidates for participation in this tender procedure, based on the candidate’s size in accordance with the principles of the Commission Recommendation of 6 May 2003 concerning the definition of micro, small and medium-sized enterprises (2003/361/EC). Thus, it is DALO’s intention to choose up to 1 candidate which is a micro- or small enterprise (group 1); up to 3 candidates which are medium-sized enterprises (group 2); and up to 2 candidates which are large enterprises (group 3). For the purpose of this tender procedure, the said enterprises are defined as follows:

— a micro- or small enterprise is defined as an enterprise which employs fewer than 50 persons and whose annual turnover and/or annual balance sheet total does not exceed 10 000 000 EUR,
— a medium-sized enterprise is defined as an enterprise which employs fewer than 250 persons and which has an annual turnover not exceeding 50 000 000 EUR, and/or an annual balance sheet total not exceeding 43 000 000 EUR,
— a large enterprise is defined as an enterprise which employs at least 250 persons or has an annual turnover of more than 50 000 000 EUR, and an annual balance sheet total exceeding 43 000 000 EUR (i.e. enterprises that are neither micro, small or medium-sized enterprises).

DALO will determine which type of enterprise a candidate belongs to on the basis of the information supplied by the candidate regarding the candidate’s last financial year. Thus, the candidate must, with the application, provide the following information for its last financial year:

The information provided must be based on the guidelines of the Commission Recommendation (2003/361/EC). It should be noted, however, that the candidate is only to provide information regarding its last financial year (one financial year only).
Newly established enterprises whose accounts have not yet been approved must provide the information based on a bona fide estimate made in the course of the financial year, cf. the recommendations Annex, Article 4, Section 3.
If the information is provided in another currency than Euro, DALO will convert the amounts by applying the exchange rate between Euro and the other currency of the National Bank of Denmark (Nationalbanken) on the day of the deadline for the request to participate. The limitation of candidates within each of the 3 groups of enterprises will be based on an evaluation of those candidates within the group that have documented the most relevant previous deliveries in comparison to the contract described in Section II.1.5) above, in terms of the nature and quantity of such previous deliveries. Besides the nature and quantity of the previous deliveries it will be evaluated positively if the candidate demonstrates experience with delivery of a VCS that includes development, maintenance and/or support and:

— has been delivered to a NATO- or a NOS-country via approval by such a country’s National Security Agency (NSA),
— has a security classification to NATO SECRET, and/or
— use TEMPEST modified equipment.
Thus, the candidates should submit a list of the most important similar deliveries (references), cf. Section II.1.5), that the candidate has carried out prior to the deadline for the request to participate. DALO will evaluate more recent deliveries positive.

Only the deliveries (references) performed at the time of the deadline for the request to participate will be considered when assessing which candidate has documented the most relevant previous deliveries, cf. Section IV.1.2). If the delivery in question is ongoing, it is only the part of the supplies carried out and completed at the time of the deadline for the request to participate that will be included in the assessment of the delivery (reference). Consequently, if a part of the supplies has not been carried out and completed at the time of the deadline for the request to participate, this particular part will not be included in the assessment of the delivery (reference).

When specifying the date of the deliveries, the candidate should state the date of the commencement and completion of the deliveries. If this is not possible, e.g. because the delivery in question is performed on an ongoing basis under a Framework Agreement, the description of the deliveries should nonetheless contain information on how the date is specified.

The list must contain a maximum of 5 previous deliveries, regardless of whether the candidate is 1 entity, composed of a group of entities (e.g. consortium), including temporary joint ventures, or relies on the technical and professional capacity of other entities. Deliveries performed on an ongoing basis under a single Framework Agreement will be considered as 1 delivery (reference). If the list contains more than 5 deliveries (references), DALO will only consider the first 5 deliveries (references) on the list. Deliveries (references) beyond that will be disregarded.

As an initial rule, DALO will not, within each of the 3 groups, invite more than 1 candidate in Group 1, 3 candidates in Group 2 and 2 candidates in Group 3. If DALO receives fewer applications for participation within a group than the number of candidates DALO has assigned to that particular group, DALO will not, as an initial rule, invite additional candidates belonging to other groups of enterprises. Thus, if DALO e.g. receives 0 applications from micro-and small enterprises (Group 1), 5 applications from medium-sized enterprises (Group 2), and 3 applications from large enterprises (Group 3), DALO will invite the 3 medium-sized enterprises and the 2 large enterprises that have documented the most relevant previous deliveries.

However, DALO will deviate from the described procedure if this is necessary to be able to invite 3 candidates to the tender procedure. In this case, DALO will first apply the principles for limitation of candidates as described above within each group of enterprises and, secondly, apply the same principles for limitation of candidates to all the remaining candidates regardless of which group of enterprise the candidates belong to. Thus, if DALO e.g. receives 3 applications from micro- or small enterprises (Group 1), 0 applications from medium-sized enterprises (Group 2) and 1 application from a large enterprise (group 3), the limitation of candidates will be carried out as follows: firstly, DALO will choose the candidate within Group 1 that have documented the most relevant previous deliveries and the candidate within Group 3. In order to invite at least 3 candidates to the tender procedure, DALO will then choose 1 candidate from the remaining 2 candidates that have documented the most relevant previous deliveries (i.e. the final candidate will be a choice between the 2 remaining candidates in Group 1).

According to the EU defence directive, a candidate may rely on the economic and financial standing and/or technical and/or professional capacity of other entities, regardless of the legal nature of the links with the entities. A facility security clearance will not be required for access to the tender documents, but before a candidate can access the tender documents, DALO demands that candidates who are invited to participate in the tender provide a written statement on observance of the provisions of the security clause concerning classified information to the level of TIL TJENESTEBRUG (equivalent to Nato Restricted) because the tender documents are classified TIL TJENESTEBRUG (equivalent to Nato Restricted). The candidates who are invited to participate in the tender shall forward a non-disclosure agreement no later than the time limit set by DALO. Based on an assessment of the received applications for pre-qualification, DALO can conclude that the applied criteria for the limitation of candidates, including the process for allocating each candidate to the correct enterprise category, cf. point IV.1.2) of the contract notice, are unfit for achieving the best possible competition within each applicable enterprise category and the tender procedure in general. Consequently, DALO has decided to terminate the tender procedure without a contract award. Hence, no tender evaluation or award of contract has been conducted by DALO. DALO will initiate a new tender procedure and DALO encourages interested candidates to stay informed with regard to a new contract notice being published.
