Energinet.dk is procuring third party liability insurance for the company's vast variety of activities: Energinet.dk, the formal Danish TSO, owns the Danish electricity and gas transmission system. Energinet.dk's main task is to maintain the overall short-term and long-term security of electricity and gas supply. Energinet.dk has around 800 employees who are operating, maintaining and developing the Company's domestic electrical transmission grid of approx. 7,000 km, 1,000 km. of gas pipelines, 2 gas storage facilities, a number of off-shore transformer platforms shore including export cables and also several large electrical interconnectors (international electrical integration). The span of activities is frequently and constantly developing as Energinet.dk is trusted with more and more activities within the domestic Danish energy infrastructure.

Egnethed til at udøve det erhverv:

All tenderers must declare that they are able to legally provide insurance services in Denmark in adherence to Lov om Finansiel Virksomhed (The Financial Business Act), LBK no. 182 of 18.2.2015. All tenderers must be licensed as insurance companies in accordance with The Financial Business Act §11, or if a foreign entity in accordance with §30 and §31. All tenderers must present a signed declaration of honour on exclusion criteria in accordance with the Danish act LBK nr.1564 of 15.12.2015. The act is in place to limit tenderers with debt to the state of Denmark or representatives hereof, to participate in public procurement contracts.

Økonomisk og finansiel stilling:

I) Financial ratio's

The candidate must be in sound financial health to assure the continuity of service provisioning throughout the term of the contract or agreement/framework agreement. The candidate must have met the following minimum financial ratios at the year-ends of the past three fiscal years:

1.Average solvency* in the previous three fiscal years, defined as: shareholders' equity divided by total assets multiplied by 100 %, must be greater than 20 %;

2.Average liquidity*, defined as current assets in the previous three fiscal years divided by current liabilities, is, greater than 1.

* The ratios shall be averaged as follows: Average ratio = (1* ratio of Year N-3)+(2* ratio of Year N-2)+(3* ratio of Year N-1) divided by 6.

NB: N = year of application for qualification

If the candidate is tendering as a consortium, the calculation of the ratios stated above must be based on the cumulative financial figures of each of the consortium members.

If during the aforementioned fiscal years, the candidate underwent a change of size, name and/or legal form as a result of takeover, de-merger or other circumstances, information regarding the candidate's legal predecessors may be included In that case, submit a short background explanation of the relevant changes as an appendix to this question.

Note: A candidate whose liquidity is less than 1 can nevertheless satisfy the minimum requirement by providing an audit certificate to the effect that the candidate has a committed credit facility of a specified size, which, if fully utilised, would result in: 1.solvency remaining above 20 %; 2.liquidity exceeding 1.

II) Audited annual accounts

The candidate should possess sufficient financial and economic standing to assure long-term continuity of service provisioning to Energinet.dk. To demonstrate this and to enable evaluation of the information requested in questions 3.3.1 and 3.3.2, the candidates who have been selected, must submit an annual account audited and approved by an accountant — including the balance sheet, profit and loss account, and explanatory notes — as well as the annual reports for the previous three fiscal years (if available), with an audit certificate stating that the annual results submitted are in conformity with the generally accepted financial reporting principles in the Netherlands, or with similar internationally accepted principles.

For companies with no obligation to submit an audited annual account, it is not required to submit an approved accountants' statement. They have to submit a review or composition statement without a negative opinion.

If the relevant data is not yet available at the time of submission of the application, the candidate may submit the preliminary data, provided that the final data is submitted as soon as possible.

For this purpose, the candidate's annual account, annual report of the fiscal year, and audit certificate must be uploaded to this question.

The candidate has taken cognizance of, and agrees to the above and has uploaded the requested document.

Mindstekrav til niveauet:

All tenderers must present a signed declaration of honour on exclusion criteria in accordance with the Danish act LBK 1624 of 15.12.2015 (fx by using the common European ‘ESPD’ declaration).

Insurers outside Denmark (but inside the EU) may operate in Denmark, as the Danish fiscal authorities will grant approval upon application (if such foreign insurer does not have the approval already from previous operations in Denmark) under the directions given by Freedom of Services (FoS); The insurer is required to ensure compliance with local legislative requirements, fiscal and claims representation.

The Tenderer must — by references — document experience from other complex, large liability placements within the energy sector (electrical and gas) either in Denmark or Europe.

Complaints must be submitted to the Complaints Board of Public Procurement no later than 45 days after the publication of the contract notice in TED. The period of time begins on the day after the tender has been made public. There will be a 10 days standstill period, before the awarded contract will be signed. In this period tenderers, who were not awarded the contract may submit a complaint. No later than when the complaint is submitted to the Board of Complaints, the complainant must write the Contracting Authority to give written notice of the complaint and what the complaint is regarding. If a complaint is not submitted before the 10 days of standstill period is over the complaint must specify if the complainant requests for the complaint to have suspensive effect.
