Communication services in connection to IPO

DONG Energy Oil & Gas A/S

DONG Energy expects to complete an IPO no later than in Q1 2017. Reference is made to the press releases issued by the Danish State (the Ministry of Finance) and DONG Energy A/S on 18.9.2015.
DONG Energy intends to enter into 2 stand-alone agreements (Lot 1) and (Lot 2) and with a maximum of two communications agencies which are to provide communication services in connection with the expected IPO of DONG Energy. 1 of the agreements solely concerns provision of communications services to DONG Energy in a Danish context, while the other solely concerns provision of communications services in an international context.
Furthermore, DONG Energy requires that the respective communication agencies have a presence in:
— Greater Copenhagen area, Denmark (Lot 1);
— London, UK, as well as New York, USA (Lot 2).
DONG Energy considers the two stand-alone agreements to cover two completely distinct assignments, which we want to operate independently of each other. The two assignments will be different in their nature as DONG Energy is a company headquartered in Denmark and is well known domestically. It has its own media relations team and this is in particular where there is a need for increased capacity in connection with the IPO. DONG Energy does not possess the same knowledge of media beyond the borders of Denmark, nor does it have the same in-house capacity. Therefore, DONG Energy has a special need for an agency, which can provide advisory services in this respect.
The communications agency or communications agencies must be able to provide communications advisory services and other communications services to DONG Energy, Gentofte, Denmark. This means that DONG Energy will be responsible for the coordination of each lot, not the agency, if an agency wishes to tender for both lots.
DONG Energy will appoint one/two communications agencies, which has extensive knowledge of, or understanding of the international aspects of an IPO, and which can provide advisory services and communication services in connection with this — both in terms of process and optimization.
DONG Energy also expects that the agencies are willing to cooperate with DONG Energy's other suppliers of communications services.

For each lot, a maximum of 4 applicants will be pre-qualified to participate in the tender/receive the call. All applicants must complete Appendix 1 — Company information and references. DONG Energy will pre-qualify the applicants from the following criteria: — Response to Technical capacity; — Response to Financial Capacity. The applicants shall receive an overall assessment of the 2 parameter. All applicants will be informed in writing whether they have been pre-qualified or not. The actual call is expected to be released mid-December 2015. Applicants are asked to contact the contact person to obtain Appendix 1 — Company information and references.

Lot 1: the communications agency and key persons in the team, which are to assist DONG Energy in a Danish context, must document extensive experience within the past 5 years within financial communication — including, for example, but not limited to, work with listed companies, equity stories, mergers and acquisitions, investments, launch of strategies, etc, and provision of advisory services to the issuer or the issuing house in connection with a fully documented IPO, listing or similar equity transactions on NASDAQ OMX Copenhagen A/S.

The Agency, which is to handle communications in Denmark, must be able to deliver a wide range of communications services from general advisory in connection with the IPO process, the execution of the IPO and the day-to-day media handling. Among other things, this applies to:

— communications advisory services, including overall preparation of communication strategies and planning of strategic PR activities as well as related activities;

— general media handling, both proactive and reactive;

— production of texts, including for example press releases, presentations, media response, memos on core messages, etc.;

— conduct media training;

— advisory services on financial communication.

Lot 2: the communications agency and key persons in the team, which are to assist DONG Energy in an international context, must be able to document experience within the past 5 years with communications advice and services in the context of a fully documented IPO in the USA, the UK (or similar markets). Experience from previous IPOs in the USA and the UK is crucial, and it is a requirement that the agency can provide a contact person who is based in the UK, and has a presence in New York. And it is deemed positively if you have representation in other financial centres, for example Frankfurt am Main in Germany and Paris, France.

The Agency, which is to handle communication outside Denmark, must be able to deliver all communications services in connection with the IPO, but in particular, where the need for advice is crucial. Among other things, this applies to:

— communications advisory services, including overall preparation of communication strategies and planning of strategic PR activities (with international media as a target group) as well as related activities;

— production of various texts, including for example press releases, presentations, media response, memos on core messages, etc.
