SKV40 Civil Works – New quay and quay facilities

DONG Energy Thermal Power A/S

Dong Energy Thermal Power is planning to implement district heating production based on biofuels through erection of a number of wood-chip boilers, providing steam for existing steam turbine and/or stand-alone district heating condensor. Two to four boilers are envisaged as an add-on to the existing gas fired plant, Skærbækværket. The new biomass fired boilers shall deliver up to 320 MW heat to the district heating system.
Fuel will be wood chips, which will be brought in to the plant from the sea side. The present contract concerns the establishment of a new quay wall in front of the existing quay wall including all corresponding structures as well as foundations for crane and conveyor belt system behind the quay wall.
The civil works contract concerns construction works in connection with the establishment of approximately 240 meter of new quay wall in front of an existing quay wall including:
— removal of existing scour protection,
— installation of 240 meter sheet pile wall,
— removal of soft deposits between the new and old sheet pile wall,
— backfilling of new quay wall,
— installation of anchorage,
— casting of concrete capping beam,
— installation of bollards and ladders,
— installation of fender wall,
— piling of concrete piles behind quay wall,
— foundation for crane rails,
— foundations for conveyor belt system,
— drainage and pavement,
— adjoining works.

The Letter of Support will be forwarded upon written request to the Candidates contact person. The Contracting entity reserves the right – subject to the principles of equal treatment and transparency – to request a Candidate to submit missing or insufficient information according to section III.2.1), III.2.2), and III.2.3) or, if applicable, to use information already in the Contracting entity's possession; or obtain such information provided it is publicly available. However the Contracting entity is not obliged to do so. A maximum of 7 Candidates will be pre-qualified for the tender procedure. If the number of Candidates applying for pre-qualification exceeds 5-7 the Contracting entity will perform the pre-qualification on the basis of the information given by each candidate ref. III.2.2) and III.2.3). The 5-7 best candidates will be pre-qualified.

The candidate shall submit a description of ownership and corporate structure. If the candidate is a subsidiary the candidate shall submit the name of the highest possible group parent — being an entity directly or indirectly controlling more than 50 % of the Candidate. If the Candidate is a consortium the information shall be submitted for each of the members of the consortium.

Økonomisk og finansiel stilling:
The Candidate shall submit Annual Accounts (including the accountant's opinion) for the previous 2 (two) years if possible. The latest Annual Account containing the previous year will be accepted. If the Candidate is a newly established entity and therefore cannot provide 2 years of Annual Accounts the Candidate will have to submit its latest Annual Account or opening Balance.

The assessment regarding the Candidates economic and financial standing will be based upon the below mentioned criterias:
— Equity
— Solvency ratio
— EBIT margin
— Liquidity Ratio
— Cash flow from Operation
The Candidate is encouraged to have the financially strongest possible parent or associated company sign the Letter of Support stating that they will issue a Parent Company Guarantee/Performance Guarantee at a later stage.
If such a Letter of Support is signed, the Contracting entity will base his economic and financial assessment of the Candidate on the supporting entity as well.
If the Candidate wishes to improve his economic and financial assessment by submitting a Letter of Support, an authorized signatory from the supporting legal entity will have to sign the Letter of Support. If a Letter of Support is submitted the assessment of the economic and financial standing of the Candidate will be based on the information about both entities. In such case the annual accounts of the other legal entity for the previous 2 (two) years should be submitted. If the other legal entity is a parent company to the Candidate it is possible to submit consolidated accounts in stead of Annual Accounts.

If the Candidate is part of the profit sharing agreement with another legal entity, cf. for example Germany's Ergebnisabführungsvertrag or the Dutch Civil Code article 2:403 (a ‘403 statement’) or equivalent legal arrangements, the evaluation of the Candidates financial standing will be based on the financial information from both entities participating in the arrangement. In such case the annual accounts of the other legal entity for the previous 2 (two) years should be submitted. The Candidate is encouraged to explicitly mention the profit sharing arrangement in his application.

Teknisk og faglig kompetence:
The Candidate shall have the necessary technical capacity for completion of the works.
The Candidate shall within the last 5 years have executed 2 similar contracts with respect to marine construction, sheet piling and concrete work.
To document his technical capacity the Candidate shall submit:
A. A reference list including specified similar works that the Candidate has executed within the last 5 years. The list of references should preferably include the following relevant information: Name of the project, Owner, Contract price, Period of execution. In addition information regarding the scope of works and contractors or sub-contractors role in the project should be listed. The list shall include a minimum of 2 references and not more than 15 references.

B. Documentation that the Candidate has implemented a quality and environmental management system corresponding to the principles in ISO9001 and ISO14001.
C. Documentation that the Candidate has implemented a health and safety management system corresponding to the principles in OHSAS18001.
If the Candidate relies on the capacity, references or systems of a sub-contractor, the Candidate should document that the resources/capacity of the sub-contractor will be available to the Candidate. A signed statement from the sub-contractor stating that the relevant resources will be made available to the Candidate during the contract with Dong Energy Thermal Power A/S will for example be considered sufficient documentation.

The Contracting Entity reserves the right to demand a Performance Security comprising an on demand Performance Bond of 15 % of the Contract Value issued by a bank or insurance company with a minimum rating of BBB+/Baa1 (S&P/Moody's).
