Global Custody Agreement (depositary services) and fund management agreement

The object of the tender is to identify and contract with a Global Custodian (depositary bank) and a fund management company for handling LD’s assets. LD is acting on behalf of "Den Professionelle Forening LD", company registration number (CVR) 31081270, a registered professional association of which LD is the only member and in which the main part of LD's portfolio is placed.

The Global Custodian as well as the fund manager have to fulfil all legal requirements to offer these services in Denmark. The relevant permissions are requested as a part of the prequalification, see section III.1.4, III.2.1 and III.3.1.
With respect to the PLD's day-to-day business and operations it is of utmost importance that the Global Custodian and the fund manager are able to work together and cooperate in an efficient manner and to provide joint services to the PLD. Therefore LD (on behalf of PLD) requires a combined tender of a Global Custodian and a fund manager who have joint experience in the custody and fund management. The Global Custodian and the fund manager are thus required to "pair up" and hand in a combined application (and tender).
Each Global Custodian is free to "pair up" with any fund manager as long as the legal requirements are fulfilled and vice versa. Each Global Custodian is also free to "pair up" with different fund managers and to hand in multiple applications (and tenders) and vice versa. However, LD reserves the right to reduce the number of multiple offers from participating parties to a maximum of three (3) if LD assess the competition otherwise would be effected/reduced. Please see section IV.1.2.
LD will in the tender specification describe the relevant services and requirements, which will include all regulatory services and furthermore some additional services to PLD. Due to the Danish regulation some of the services have to be delivered by the Global Custodian and some of the services have to be delivered by the fund manager. However, some services could be delivered either by the Global Custodian or the fund manager. LD expects that the Global Custodian and the fund manager after being prequalified - with respect of Danish regulation - decide on their own which of the 2 is in a better position to deliver such requested services.
